MAXGRAB - LICENSE AGREEMENT
Last updated: 8 October 2026
This License Agreement ("Agreement") is a legal agreement between you ("Licensee", "you") and GLADVISUAL, LLC, the company of Maksym Gladysh ("Licensor", "Max") for MaxGrab, its installer, the MaxGrab app, its documentation, images and updates (together the "Product").
By purchasing, downloading, installing or using the Product you accept this Agreement. If you do not accept it, do not install or use the Product.
1. Grant of license
The Licensor grants you a personal, non-exclusive, non-transferable, non-sublicensable license to install and use the Product, in its original object form, on computers you own or control, for your own personal and commercial work.
- One license is for one person. Use on all of your own computers is included.
- A company or team needs one license for each person who uses the Product.
- The license is for use only. You buy a right to use the Product, not the Product itself or any copy of its code.
2. Permitted use
You may:
- Use the Product in personal, professional, commercial and client projects.
- Download media that you own, that you have the right or permission to download, or that the law allows you to copy (for example under a copyright exception that applies to you).
- Keep the videos you create with your own work. Ownership of your final edits stays entirely yours.
3. Your responsibility for what you download
The Product is a tool. You decide what you download and what you do with it.
- You are solely responsible for making sure that every download and every use of downloaded media respects the rights of the people who made it (copyright, image rights, music rights and any other rights) and the terms of service of the website it comes from.
- You must not use the Product to infringe copyright, to pirate or redistribute content you have no rights to, to get around any paywall, sign-in, age check, encryption or other technical protection, or for anything illegal.
- The Licensor does not host, provide, index, select or endorse any content. The Product does not download private, members-only, age-restricted, paid, live or DRM-protected media, and it never asks for or uses your account on any website.
- Websites change how they work. The Licensor does not promise that any particular website, link or format will work, now or later, and may change or end support for any website at any time.
4. Prohibited use (copying and reselling)
You may NOT, directly or through anyone else:
- Copy, share, redistribute, resell, rent, lend, sublicense or transfer the Product or any part of it, for free or for money, publicly or privately (including forums, cloud storage, Discord servers, Telegram, file-sharing and torrent sites).
- Modify, translate, adapt or create derivative works from the Product, its code, its interface, its design, its icons, its texts or its documentation.
- Decompile, disassemble, reverse engineer, deobfuscate or extract the source code of the Product, except where the law expressly allows it and only to the extent it allows it.
- Use the Product, its code, its interface, screenshots, design, texts or documentation as input, prompt, reference or training data for any artificial intelligence or code-generation system, or any other tool, in order to recreate, imitate, port or rewrite the Product or a substantially similar product.
- Build, publish or sell a product that copies or imitates the Product's code, interface, design, look, name or documentation, or include any part of the Product in another product, bundle, template pack or service.
- Remove or change any copyright, license or ownership notice in the Product, or claim the Product as your own work.
- Use the names "MaxGrab" or "Max", the MaxGrab logo or icon, or a confusingly similar name or logo, for any other product or service.
- Get around any part of the Product that limits how it can be used.
These limits apply to the Product only. The open-source programs MaxGrab starts on your computer (listed in section 7) keep their own licenses and are not restricted by this Agreement.
5. Intellectual property
The Product, including its source code, object code, interface, visual design, icons, name, logo, texts, documentation and updates, is the intellectual property of the Licensor and is protected by copyright and other laws. All rights not expressly granted in this Agreement are reserved.
If you send ideas, suggestions or feedback, the Licensor may use them freely, without any obligation to you.
6. Enforcement
A breach of section 4 or 5 causes the Licensor real harm. The Licensor may, in addition to any other right under the law:
- End your license immediately (section 9).
- Request the removal of copies, imitations and listings from any website, store, platform, host or marketplace (including notices under copyright laws such as the US DMCA and the EU Digital Services Act).
- Claim compensation for the damage caused, including lost sales and the reasonable cost of enforcing this Agreement, to the extent the law allows.
7. Third-party software
To work, the Product starts separate programs made by other people: yt-dlp (Unlicense), FFmpeg (GPL / LGPL) and QuickJS-ng (MIT), which it downloads from their public sources on your computer the first time it opens, and, in the free-Resolve app, Electron and Chromium (MIT and BSD-style licenses). The Resolve Studio plugin uses Blackmagic Design's Workflow Integration bridge under Blackmagic's own terms. Each of these is governed only by its own license (see LICENSES.txt inside the Product). The Licensor gives no warranty for them.
MaxGrab is not affiliated with, endorsed by or sponsored by Blackmagic Design, Adobe or Apple. Their names and trademarks belong to their owners and are used only to describe compatibility.
8. Updates and support
Updates are free for the original purchaser for as long as the Licensor publishes them, and are announced by email to the address used at purchase. The Licensor may change, improve or remove features in an update. There is no obligation to keep publishing updates or to support every operating system, computer or DaVinci Resolve version.
Support is given by email, in good faith, without a guaranteed response time.
9. Termination
This license lasts until it ends. It ends automatically, without notice, if you breach this Agreement. When it ends you must stop using the Product and delete every copy you have. Sections 3 to 7 and 10 to 13 survive termination.
10. Disclaimer of warranty
To the maximum extent permitted by law, the Product is provided "as is" and "as available", without any warranty of any kind, express or implied, including merchantability, fitness for a particular purpose, availability of any website or content, and non-infringement. You are responsible for checking that the Product fits your computer, your DaVinci Resolve version and your workflow. Statutory rights you have as a consumer that cannot be excluded are not affected.
11. Limitation of liability
To the maximum extent permitted by law, the Licensor is not liable for any indirect, incidental, special or consequential damage, loss of data, files, projects, profit or business, or for any claim related to what you download or how you use it. The Licensor's total liability for any claim is limited to the amount you paid for the Product. Nothing in this Agreement limits liability for intent, gross negligence, or death or personal injury, where the law does not allow it to be limited.
12. Indemnity
To the extent permitted by law, you agree to defend and hold the Licensor harmless against any claim, loss, cost or fine (including reasonable legal fees) that comes from the media you download, from how you use it, or from your breach of this Agreement.
13. General
- Governing law: this Agreement is governed by the laws of Spain. The courts of Madrid have jurisdiction, without taking away any mandatory protection a consumer has under the laws of their own country.
- Whole agreement: this Agreement, together with the Terms of Sale, is the whole agreement about the Product.
- Severability: if a part of this Agreement is found invalid, the rest stays in force, and the invalid part is replaced by the valid term closest to its purpose.
- No waiver: not enforcing a term at one time does not give up the right to enforce it later.
- Changes: the Licensor may update this Agreement for future versions of the Product. The version published with the version you use applies to it.
- Language: if this Agreement is translated, the English version prevails.
